1. Definitions

In these Terms and Conditions, the following definitions apply:

"Quillar," "we," "us," "our" refers to Quillar, a business consulting practice operating from 100 Nathan Road, Unit 1807, Tsim Sha Tsui, Hong Kong.

"User," "you," "your" refers to any individual or entity accessing our website or engaging our services.

"Services" refers to the consulting engagements offered by Quillar, including Supply Chain Optimization Reviews, Brand Positioning Workshops, and Regulatory Compliance Assessments.

"Agreement" refers to the contract formed between Quillar and the User upon acceptance of these Terms.

"Content" refers to all text, images, data, and materials on the Quillar website and in our deliverables.

2. Acceptance of Terms

By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these Terms, you should not use our website or services.

You confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are acting on behalf of an organisation, you confirm that you have the authority to bind that organisation to these Terms.

3. Service Description

Quillar provides business consulting services to organisations in Hong Kong and the wider region. Our services include supply chain analysis, brand positioning facilitation, and regulatory compliance assessment. Service availability may vary. We reserve the right to modify, suspend, or discontinue any service at any time, with reasonable notice to clients with active engagements.

4. User Responsibilities

When using our website or engaging our services, you agree to provide accurate and current information when submitting enquiry forms, use the website for lawful purposes only, refrain from attempting to gain unauthorised access to our systems or data, not reproduce, distribute, or commercially exploit any content from our website without prior written consent, and cooperate in good faith during consulting engagements by providing timely access to requested information and personnel.

5. Intellectual Property

All content on the Quillar website — including text, design elements, graphics, and branding — is owned by or licensed to Quillar and is protected under applicable intellectual property laws in Hong Kong.

Upon completion of a consulting engagement and receipt of full payment, the client receives a non-exclusive, non-transferable licence to use the deliverables for their internal business purposes. Quillar retains ownership of all proprietary methodologies, frameworks, and tools used in the preparation of deliverables.

6. Payment Terms

Quillar operates on a fixed-fee basis. The fee for each engagement is agreed in writing before work commences. Current service pricing is as follows: Supply Chain Optimization Review — HK$3,300, Brand Positioning Workshop — HK$2,700, Regulatory Compliance Assessment — HK$1,800.

Payment is due as specified in the engagement scope document. Accepted payment methods will be confirmed at the time of engagement. Late payments may be subject to a reasonable administrative fee, as outlined in the scope of work.

Refund requests are considered on a case-by-case basis. If work has not yet commenced and you wish to cancel, please contact us promptly. Once substantive work has begun, refunds are generally not available, though we will work to reach a fair resolution.

7. Confidentiality

Both parties agree to maintain the confidentiality of information shared during a consulting engagement. Quillar will not disclose client data to third parties without prior written consent, except where required by law. Clients agree not to disclose Quillar's proprietary methodologies or internal processes to third parties.

Confidentiality obligations survive the termination of any engagement for a period of two years.

8. Disclaimers

Quillar's consulting services are provided on an "as is" basis. While we apply professional diligence and expertise to every engagement, we do not warrant that our recommendations will produce any particular business outcome.

Our services are advisory in nature. Quillar does not provide legal, financial, or tax advice. Clients should consult qualified professionals for matters requiring licensed expertise. The implementation of any recommendations is the client's responsibility.

9. Limitation of Liability

To the maximum extent permitted by the laws of Hong Kong, Quillar's total liability arising from or related to any engagement shall not exceed the fees paid by the client for that specific engagement.

Quillar shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, even if advised of the possibility of such damages.

10. Indemnification

You agree to indemnify and hold harmless Quillar, its team members, and affiliates from any claims, losses, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of our services or deliverables, or any third-party claim related to your use of Quillar's work product.

11. Termination

Either party may terminate a consulting engagement by providing written notice. If the client terminates an engagement after work has commenced, fees for completed portions of the engagement remain payable.

Quillar reserves the right to terminate an engagement if the client fails to meet agreed obligations, including provision of information or timely payment.

Provisions relating to intellectual property, confidentiality, limitation of liability, and indemnification survive termination.

12. Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If the dispute cannot be resolved informally within 30 days, either party may pursue mediation or, if necessary, submit the dispute to the jurisdiction of the courts of Hong Kong.

13. General Provisions

Entire Agreement: These Terms, together with any signed scope of work, constitute the entire agreement between you and Quillar regarding the subject matter herein.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent.

Force Majeure: Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including natural disasters, government actions, or pandemic-related disruptions.

14. Changes to These Terms

We may revise these Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
